By accepting our proposal, paying a deposit, or submitting a project booking, you explicitly request and instruct Apex Sites to commence development work immediately. You acknowledge and agree that by requesting work to begin immediately, you waive your statutory 14-day right to cancel under the Consumer Contracts Regulations 2013 once performance of the services has begun.
Upon receipt of final project payment, full ownership of the custom frontend website design, copy, and client-specific styling is transferred to you. However, Apex Sites retains exclusive ownership of all underlying templates, source code structures, custom scripts, database engines, and software frameworks. You are granted a non-exclusive, royalty-free, perpetual license to run and operate these elements solely as part of your completed website.
You warrant that all text, logos, branding, trademarks, and photography provided by you for inclusion in the website are owned by you or that you have obtained full permission from the rightful owner to use them. You agree to fully indemnify and hold harmless Apex Sites against any claims, losses, costs, or damages arising from copyright infringement claims related to client-supplied materials.
Apex Sites provides hosting services using high-performance, secure third-party cloud infrastructure (such as Cloudflare Pages/Workers). Since these systems are operated by third parties, you acknowledge that Apex Sites does not control server uptimes. Our hosting availability matches the Service Level Agreement (SLA) provided by the host. We are not liable for business losses, downtime, or network failures originating from these host infrastructures or domain registrars.
Hosting and maintenance packages are billed in advance. If any invoice related to hosting, domain renewals, or support packages remains unpaid for more than 7 days past the due date, Apex Sites reserves the right to suspend hosting services and take the client’s website offline without liability for loss of business. A reconnection fee may apply to restore suspended accounts.
Websites are delivered and tested as fully functional at the time of launch. Unless you have subscribed to an active monthly maintenance package, any post-launch code modifications, security audits, repairs for issues caused by client editing errors, or changes required due to third-party API updates will be charged at our standard hourly rate.
To the maximum extent permitted by law, the total cumulative liability of Apex Sites for any losses, claims, errors, or omissions arising out of this agreement—whether in contract, tort (including negligence), or otherwise—shall be strictly limited to the total fees paid by you to us in the 12-month period preceding the claim.
You agree that making payment of any project deposit, paying a monthly maintenance invoice, or providing written confirmation to start development constitutes binding acceptance of these Terms of Service, even if a physical or digital contract remains unsigned.
These terms and any disputes arising from them are governed by and construed in accordance with the laws of England and Wales, under the exclusive jurisdiction of the English courts.
